Terms of Service

The following terms and conditions (the "Agreement") govern all use of the ht-vector.com website (the “Site”) and services available on or at the Site (taken together with the Site, the "Service"). BY CLICKING "ACCEPT", SIGNING UP, INSTALLING, REGISTERING OR OTHERWISE USING OUR SERVICE, YOU AGREE TO ALL TERMS AND CONDITIONS OF THIS AGREEMENT. If you do not agree to the Agreement or any part of it, do not use the Site and the Service.

Copyright

The Services are licensed to you, not sold. The Service are owned by HT VECTOR and are protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Unauthorized reproduction or distribution of any portion of it may result in severe civil and criminal penalties and will be prosecuted to the maximum extent under the law.

Registration

In order to enjoy all the benefits of our Services, you must register on the Site. To complete registration, you shall provide an email address and a password. Before the use of the Service, you will need to download and install the software on your computer(s). You shall never use another’s HT Vector account without permission from that User. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. This Agreement is void where prohibited by law, and the right to access the Service is revoked in such jurisdictions.

Use of the Service

You hereby acknowledge that you shall use the Service solely for lawful purposes and complying with the Agreement. Violation of any of the terms will result in the termination of your account. HT Vector will not be responsible for the content posted on the Service. You agree to use the Service at your own risk. The Service is provided on an "as is" and "as available" basis. HT Vector may change, suspend or discontinue the Services, fees, charges, etc. at any time, including the availability of any feature. HT Vector may also impose limits on certain features and Services or restrict User"s access to parts or all of the Services without notice or liability. You acknowledge that you have the required legal capacity to use the Service and be liable on execution of the Agreement. You must not violate any laws in your jurisdiction.

If you do not comply with these provisions or abuse the Service, HT Vector has a full discretion to delete or block your account at any time, without prior notice and explanation and as a contractual penalty to retain the amount you paid for the Service. In this event you shall not have the right for compensation, or receipt of any compensation for your purchases at HT Vector.

You agree that you will not: impersonate any person, violate any local, state, or national law through or on the Service; harass people through or on the Service; collect or store data about other people using the Service; use any device, software or routine to interfere or attempt to interfere with the Service; take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Service; use the Service in any manner other than as expressly authorized in the Agreement; reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of the Service, including use of the Service, or access to the Service.

Licenses and Subscription

In consideration for your agreement to this Agreement and your payment of all applicable Fees (as defined below), HT Vector grants you a personal, limited, non-exclusive, non-sublicensable,revocable license to access and make use of the Service.

• Your subscription begins when your purchase is completed for online payments,(or otherwise, when your payment is received).
• Buying the software, you are purchasing a recurring subscription which will automatically renew after the first term.
• The change of the product price does not affect the existing subscriptions.
• You may cancel your subscription at any time by logging into your PayPro customer account or by contacting our support team at [email protected]
• You can update your credit card details by logging into your PayPro customer account.
• Your subscription includes coverage on the specified number of devices and protection updates and features may be added.
• If you cancel your subscription, you must uninstall the Software from all the computers it was installed on at the end of the last payment term.
• If you cancel your subscription, your HT Vector account will be deleted within a month.

Refund Policy

15 day money back guarantee: If you are not satisfied with our Service, send us an email within 15 days from the date of your purchase and we will refund the full cost of your purchase. Please include the reason for your dissatisfaction. Your refund will be processed, and a credit will automatically be applied to your credit card or original method of payment, generally within 7 working days since your request has been approved.

Automatic Renewal

To ensure uninterrupted service, all subscriptions to HT Vector Software are renewed automatically. All of our subscriptions are renewed at the current subscription rate when the current subscription term ends. Our payment processor PayPro will charge you monthly or annually, depending on your plan on the date of your purchase. HT Vector does not offer lifetime or one-time plans.

An email notification will be sent to you each time in several days before you will be billed. You can cancel your subscription at any time to prevent future billing by following the link from the email notification or contacting us.

Number of Computers

Subscribers shall ensure that the total number of computer with the Software does not exceed the maximum number of seats authorized by and purchased from HT VECTOR. Your license is limited to a certain number of computers, workstations, virtualized desktops or computers or other hardware running multiple operating systems shall each be counted as individual workstations towards the total count. If installed on a Terminal Server, the license is user based, a separate license for each user is required.

14-day Free Trial

If you have acquired the Trial version of the Software and the Services, you may install and use them solely for evaluation and test purposes during the single applicable trial period of fourteen (14) days after which you must either discontinue use of the software (uninstall and delete) or purchase a license. You may not attempt to increase the functionality of the Software and the Service in any manner outside the parameters set out by the Software. You may not attempt to increase the time limiters of the Trial version. The trial period is per organization or individual, not per computer. HT VECTOR shall not be required to provide any support and Updates, for the Trial Version of the Software.

Distribution Rights

HT VECTOR grants you a royalty-free license to copy and distribute the Trial version of the Software in its unmodified form electronically or on physical media means, provided that you comply with all other relevant provisions in this Agreement. No fee, compensation or consideration may be charged for such distribution, and a verbatim copy of this Agreement must be provided therewith. You may not grant license rights to the Software that are broader than this Agreement.

Responsibility for Users

Unless expressly provided in this Agreement, you may not directly or indirectly:

• You may NOT install and use the Software on a computer(s) you do not own or do not have permission to monitor.
• You may NOT monitor users without informing them that they are being monitored.
• You may NOT use the the Service after the end of your subscription.
• You may NOT repackage, translate, adapt, vary, modify, alter, create derivative works based upon, or integrate any other computer programs with, the Software in whole or in part.
• You may NOT use the Service to engage in or allow others to engage in any illegal activity.
• You may NOT transfer or assign your rights or obligations under this License to any person or authorize all or any part of the Software to be copied on to another user’s computer.
• You may NOT decompile, disassemble, reverse engineer or otherwise attempt to discover the source code of the Software except to the extent that you may be expressly permitted to reverse engineer or decompile under applicable law.
• You also agree not to use the Service for any unlawful or improper purpose.
• ANY VIOLATION OF THE LICENSE AGREEMENT WILL TERMINATE ALL THE GUARANTEES AND YOUR LICENSE WITHOUT REFUND.

Legal Compliance

End User Licensing Agreement requires that you only install the software on computers that you own or have permission to monitor. You need to inform all users of those computers that they are being monitored. Failure to do so may result in breaking of Federal and State laws. Logging of an individual’s computer activity without their knowledge may be considered to be an illegal operation by some provinces, states or jurisdictions. The Software is intended for authorized system administrators, security managers, owners of the computers and so on. HT VECTOR Inc. assumes no liability and is not responsible for any misuse of the Software. It is the your and any final user's responsibility to obey the terms of this Agreement and all applicable local, provincial, state, federal and international laws and regulations.

LIMITATION OF LIABILITY

IN NO CIRCUMSTANCES WILL HT VECTOR BE LIABLE TO YOU FOR ANY DAMAGES, CLAIMS OR COSTS WHATSOEVER (WHETHER IN CONTRACT, TORT, NEGLIGENCE OR OTHERWISE) INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, LOST SAVINGS, LOST INFORMATION, LOSS OF DATA NOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL DAMAGES. THE FOREGOING LIMITATIONS AND EXCLUSION APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW IN YOUR JURISDICTION. Nothing in this License limits HT VECTOR's liability to you in the event of death or personal injury resulting from our negligence or for fraud. The provisions of this section shall survive the termination of this License howsoever caused.

Updates

HT VECTOR will provide you with free Update and Support for a period of your subscription.

Term and Termination

This agreement will terminate automatically if you fail to comply with any of the limitations or other requirements described herein. upon any termination or expiration of this agreement, you must immediately cease use of the software and permanently destroy and/or delete all copies of the software. Violation of the license agreement will terminate all the guarantees and your license without refund.
